Terms of Service

Overview

These Terms of Service ("Terms") govern access to and use of grout.co and the Grout platform (together, the "Service"), operated by Grout Inc. ("Grout," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of a company or other organization, you're agreeing on its behalf, and "you" refers to both you and that organization.

If you do not agree to these Terms, do not use the Service.

The Service

Grout is business management software for flooring companies, providing tools to manage customers, properties, projects, teams, and related documents in one place. The Service is under active development — features may be added, changed, or removed, and some functionality described in our marketing materials may not yet be available to all accounts.

Accounts

Access to Grout is currently invite-only. Accounts are created through an organization invitation or a registration token provided by Grout.

Your Data

"Customer Data" means the data your organization submits to or stores in the Service — including customer records, property information, project and job details, and uploaded documents. As between you and Grout, you own your Customer Data.

You grant Grout a license to host, store, process, and transmit Customer Data solely to provide, maintain, and improve the Service. We do not use Customer Data to train third-party models or sell it to anyone.

You're responsible for the accuracy and legality of the Customer Data you submit, and for having the necessary rights and permissions to submit it — including any personal information about your own customers.

Third-Party Services

The Service relies on third-party providers to operate, including cloud file storage, transactional email delivery, mapping, and property data enrichment. These providers process data solely to support the features they enable and are bound by confidentiality and data protection obligations appropriate to the service they provide. Fees and Payment

Portions of the Service are currently offered free of charge during our early access period. If we introduce paid plans, we'll provide advance notice and separate terms covering pricing, billing, and payment processing will apply to your continued use of paid features.

Intellectual Property

Grout and its licensors retain all right, title, and interest in the Service, including its software, design, and branding. Nothing in these Terms grants you any rights to our trademarks or brand assets without our prior written consent.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE IS UNDER ACTIVE DEVELOPMENT AND MAY CONTAIN BUGS OR EXPERIENCE DOWNTIME.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to indemnify and hold Grout harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.

Termination

You may stop using the Service and request account deletion at any time by contacting support@grout.co. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, in which case we'll provide reasonable notice where practicable. Upon termination, your right to use the Service ends, though certain provisions of these Terms (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.

Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date above. If changes are material, we'll make reasonable efforts to notify account administrators. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
